aranteeperiodshallbemonthsafterthearrivalofthegoodsattheportofdestination，andduringtheperiodthesellersshallberesponsibleforthedamageduetothedefectsindesigningandmanufacturingofthemanufacturer.16.商品檢驗：賣方須在裝運前_____日委托檢驗機(jī)構(gòu)對合同之貨物進(jìn)展檢驗并出具檢驗證書，貨到目的港后，由買方委托____檢驗機(jī)構(gòu)進(jìn)展復(fù)檢。goodsinspection：thesellersshallhavethegoodsinspectedbyinspectionauthoritydaysbeforetheshipmentandissuedtheinspectioncertificate.thebuyersshallhavethegoodsreinspectedbyinspectionauthorityafterthegoodsarrivalatthedestination.17.索賠claims：如經(jīng)中國_____檢驗機(jī)構(gòu)復(fù)檢，發(fā)現(xiàn)貨物有損壞、殘缺或品名、規(guī)格、數(shù)量及質(zhì)量與本合同及質(zhì)量保證書之規(guī)定不符，買方可于貨到目的港后天內(nèi)憑上述檢驗機(jī)構(gòu)出具的證明書向賣方要求索賠。如上述規(guī)定之索賠期與質(zhì)量保證期不一致，在質(zhì)量保證期限內(nèi)買方仍可向賣方就質(zhì)量保證條款之內(nèi)容向賣方提出索賠。thebuyersshalllodgeclaimsagainstthesellersbasedontheinspectioncertificateissuedbychinainspectionauthoritydaysafterthearrivalofthegoodsatthedestination，ifthegoodsarefoundtobedamaged，missingorthespecifications，quantity，andqualitynotinconformitywiththosespecifiedinthiscontractandletterofqualityguarantee.incasetheclaimperiodabovespecifiedisnotinconformitywiththequalityguaranteeperiod，duringthequalityguaranteeperiod，thebuyershaverightstolodgeclaimsagainstthesellersconcerningthequalityguarantee.18.延期交貨違約金latedeliveryandpenalty除雙方認(rèn)可的不可抗力因素外，賣方遲于合同規(guī)定的期限交貨，如買方同意遲延交貨，賣方應(yīng)同意對信譽證有關(guān)條款進(jìn)展個性和同意銀行在議付貨款時扣除本條規(guī)定的違約金。違約金總值不超過貨物總價值的5%，差率按7天0.5%計算，不滿7天仍按7天計算。在未采用信譽證支付的情況下，賣方應(yīng)將前述方法計算的違約金即付買方。時通知買方。forcemajeure：thesellersshallnotholdanyresponsibilityforpartialortotalnon-performanceofthiscontractduetoforcemajeure.butthesellersshalladvisethebuyersontimesofsuchoccurrence.20.爭議之解決方式：disputessettlement：□任何因本合同而發(fā)生或與本合同有關(guān)的爭議，應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會，按該會的仲裁規(guī)那么進(jìn)展仲裁。仲裁地點在中國深圳。仲裁裁決是終局的，對雙方均有約束力。alldisputesarisingoutofthecontractorinconnectionwiththecontract，shallbesubmittedtothechinainternationaleconomicandtradearbitrationmissionforarbitrationinaccordancewithitsrulesofarbitrationinshenzhenchina.thearbitralawardisfinalandbindinguponbothparties.21.法律適用lawapplication：本合同之簽訂地、或發(fā)生爭議時貨物所在地在中華人民共和國境內(nèi)或被訴人為中國法人的，適用中華人民共和國法律，除此規(guī)定外，適用《結(jié)合國國際貨物銷售公約》。23.文字：本合同中、英兩種文字具有同等法律效力，在文字解釋上，假設(shè)有異議，以中文解釋為準(zhǔn)。versions：thiscontractismadeout
