銷售協(xié)議書SALESCONTRACT賣方：TheSeller:編號No:買方：Thebuyer:日期Date:簽訂地Signedat:買賣雙方批準成交下列產品，訂立條款如下：TheundersignedSellerandBuyerhaveagreedtoconcludethefollowingtransactionontermsandconditionsasspecifiedbelow:1．貨號ArticleNumber2..貨品名稱、規(guī)格COMMODITYSPECIFICATION3.數(shù)量QUANTITY4.單價UNITPRICE5.總值TOTALVALUETTL:TOTALAMOUNT:SAYUSDOLLARS6.裝運時間：TIMEOFSHIPMENT:裝運口岸和目的港：PORTOFSHIPMENT&DESTINATION7．包裝、裝運標記：PACKINGANDSHIPPINGMARK:8..PRICE價格Subjecttoincreaseasprovidedinparagraph7onthereversesidehereof.可按照本協(xié)議背面第七條規(guī)定上浮。9.ADDITIONALTERMSANDCONDITIONS附加條款規(guī)定Theadditionaltermsandconditionsonthereversesidehereofarepartofthisagreementaseffectivelyasthoughtheyprecededthesignaturesoftheparties.協(xié)議背面的附加條款規(guī)定視為本協(xié)議不可分割的部分，效率等同當事人署名前所列條款。10.PRICEINCREASE價格浮動Sellermayincreaseanypricehereunderonthefirstdayofanycalendarquarter-yearlyperiodbydeliveringormailingwrittennoticetoBuyeratleast15dayspriortosuchday.Buyer,however,shallhavetherighttocanceltheundeliveredportionofthematerialtowhichsuchincreaseinpriceappliesbydeliveringormailingwrittennoticetoSellerpriortothedatewhensuchincreaseistobecomeeffective.賣方提價可以在每個季度的第一天進行，但至少應提前十五（15）天向買方提交或郵寄有關的書面告知。買方則有權在漲價生效日之前向賣方提交或郵寄書面告知，取消漲價部分的訂貨。11.TAX稅收Inadditiontothepurchaseprice,BuyershallpaySellertheamountofallgovernmentaltaxes,exerciseand/orothercharges(excepttaxesonormeasuredbynetincome)thatSellermayberequiredtopaywithrespecttotheproduction,saleortransportationofanymaterialdeliveredhereunder,exceptwherethelawotherwiseprovided.除買價外，買方還應當支付賣方因生產，銷售或運送本協(xié)議有關商品而規(guī)定繳納的所有政府稅收，營業(yè)稅和/或其他一切收費（純收入所得稅除外），法律另有規(guī)定除外。12.LOWERCOMPETITIVEPRICE較低的競爭價格IfBuyerfurnishesprooftoSellerthatBuyercanpurchasefromamanufacturerinanycontractyearanyoftheaforesaidmaterialsproducedwithintheUnitedStates,ofthesamequality,uponsimilartermsandconditions,inapproximatelythesamequantityasthethenundeliveredquantityhereunderduringsuchcontractyear,andatalowerpricethanisthenineffectunderthisAgreement,thenifSellershallnotreducethepricehereundertosuchalowerpricefortheaforesaidquantity,Buyermaypurchasesuchquantityfromtheothermanufacturer,whereuponBuyer’scommitmentunderthisAgreementshallbereducedbythequantitysopurchased.如買方向賣方證實，買方可在任何一個協(xié)議年度內從任何一個制造商處按類似條件規(guī)定購得在美國生產的上述商品，且質量同樣，數(shù)量等同本協(xié)議年度尚未交貨數(shù)量，但價格低于本協(xié)議之定價，如賣方拒絕就上述數(shù)量商品按此價格進行降價，買方可向其他制造商購買該數(shù)量商品，并按購買數(shù)量減少該協(xié)議所承擔的購貨義務。13.SHIPMENT裝運Unlessotherwiseprovidedforherein,Buyershallplaceorderfor,andshallbemadein,approximatelyequalmonthlyquantities,orifanymaterialisinsufficientinquantitytopermitmonthlyshipment,theninquantitiesapproximatelyevenlyspacedthroughouteachcontractyear.IfBuyerfailstosoorderanyquantityprovidedforunderthisAgreement,Sellershallnotbeobligedsubsequentlytodeliversuchunorderedquantity.如無另行規(guī)定，買方每月定貨量及每月裝船發(fā)貨量應大體相同，假如因缺貨而影響每月裝運，則應依量大體按協(xié)議年平均進行裝運。如買方不按協(xié)議之規(guī)定訂貨，賣方將無義務提供未訂購貨品。14.PAYMENT支付Paymentshallbemadeondemand,withoutdiscount.Sellerreservestheright,amongotherremedies,eithertoterminatethisAgreementortosuspendfurtherdeliveriesuponfailureofBuyertomakeanypaymentashereinprovided.支付以取貨即付的方式，不得折扣。如賣方不按本協(xié)議之規(guī)定支付貨款，除其他補救之外，賣方有權中止協(xié)議或停止發(fā)貨。15.CLAIMS索賠Buyer’sreceiptofanymaterialdeliveredhereundershallbeanunqualifiedacceptanceof,andawaiverbyBuyerofanyandallclaimswithrespectto,suchmaterialunlessBuyergivesSellernoticeofclaimwithinfifteen(15)daysaftersuchreceipt.BuyerassumesallriskandliabilityfortheresultsobtainedbytheuseofanymaterialdeliveredhereunderinmanufacturingprocessesofBuyerorincombinationwithothersubstances.Noclaimofanykind,whetherornotbasedonnegligence,shallbegreaterinamountthanthepurchasepriceofthematerialinrespectofwhichsuchclaimismade.Innoeventshalleitherpartybeliableforspecial,indirectorconsequentialdamages,whetherornotcausedorresultingfromthenegligenceofsuchparty.買方收到按本協(xié)議所發(fā)商品后十五（15）天內不向賣方提交索賠告知，則視為無保存接受該商品，且放棄一切有關權利規(guī)定。買方承擔在生產過程中使用按本協(xié)議所提供之商品或將其與其他商品混合生產而產生的一切風險和責任。任何索賠，無論是就所提供之商品或就不提供商品，因過失或不因過失，數(shù)額均不得超過索賠標的物的買價。任何一方均不對特殊、間接或繼后的損害負責，不管其是否是因一方當事人過失而引起或產生。16.FORCEMAJEURE不可抗力Neitherpartyshallbeliableforitsfailuretoperformhereunderduetoanycontingencybeyonditsreasonablecontrol,includingactsofGod,fires,floods,wars,sabotage,accidents,labordisputesorshortages,governmentallaws,ordinances,rulesandregulations,whethervalidorinvalid(including,butnotlimitedto,priorities,requisitions,allocations,andpriceadjustmentrestrictions),inabilitytoobtainmaterial,equipmentortransportation,andanyothersimilarordifferentcontingency.Thepartywhoseperformanceispreventedbyanysuchcontingencyshallhavetherighttoomitduringtheperiodofsuchcontingencyalloranyportionofthequantitydeliverableduringsuchperiod,whetheruponthetotalquantitydeliverableunderthisAgreementshallbereducedbythequantitysoomitted.If,duetoanysuchoccurrence,SellerisunabletosupplythetotaldemandsforanymaterialspecifiedinthisAgreement,Sellershallhavetherighttoallocateitsavailablesupplyamongitscustomersanditsdepartmentsanddivisionsinafairandequitablemanner.InnoeventshallSellerbeobligedtopurchasematerialfromothersinordertoenabletodelivermaterialtoBuyerhereunder.因不可抗力事故（涉及天災、火災、洪水、戰(zhàn)爭、破壞、意外事件、勞資糾紛或勞力缺少）、政府法律、法律、規(guī)則和條例[不管是否合法，涉及（但不排除其他）優(yōu)先權、征用、分派及價格調整限制等]、物質設備及運送短缺、以及其他類似的或不同的意外事故，雙方當事人均可免去違約責任。遇刺事故的當事人有權免去所有或部分在該事故期內本應收、發(fā)的貨品，免去之數(shù)額應從協(xié)議總額中扣除。由于上述事故使得賣方無法提供本協(xié)議規(guī)定數(shù)額之某種商品，賣方有權公平合理的在其顧客、部門和分公司之間就也許提供之商品進行分派。在任何情況下均不得迫使賣方為滿足買方的供貨而向別人購買商品。17.MISCELLANEOUS其他規(guī)定Thevalidity,interpretationandperformanceofthisAgreementwithrespecttoanymaterialdeliveredhereundershallbegovernedbythelawoftheStateinwhichsuchmaterialwasmanufactured.ThisAgreementcontainsalloftherepresentationsandagreementsbetweenthepartieshereto.SellerwarrantsthatmaterialdeliveredhereundermeetsSeller’sstandardspecificationforthematerialorsuchotherspecificationsashavebeenexpresslymadeapartofthisAgreementandthatsuchmaterialisadequatelycontained,packagedandlabeledandconformstothepromisesandaffirmationsoffactmadeonthecontainerandlabel.THEFOREGOINGWARRANTSAREEXCLUSIVE,ANDAREINLIEUOFALLOTHERWARRANTIES(WHETHERWRITTEN,ORALORIMPLIED)INCLUDINGWARRANTYOFMERCHANTABILITYINOTHERRESPECTSTHANEXPRESSLYSETFORTHABOVEANDWARRANTYOFFITNESSFORAPARTICULARPURPOSE.ThisAgreementshallbebindinguponandensuretothebenefitoftherespectivesuccessorsandassigneesofeachofthepartieshereto,butanyassignmentthereofbyeitherpartywithoutthepriorwrittenconsentoftheotherpartyshallbevoid.Nomodificat
