中外聯(lián)合辦學協(xié)議書國際護理專業(yè)合作辦學項目協(xié)議書(3+1)AgreementonJointEducationPrograminInternationalNursing(3+1)第一條總則Article1GeneralTerms_________學院(甲方)和_貝特福特大學(乙方)根據(jù)《中華人民共和國中外合作辦學條例》及中國的有關法規(guī)，經(jīng)過友好、平等協(xié)商，在平等互惠、共同發(fā)展的基礎上，雙方同意開展合作辦學項目，為此簽訂本合作協(xié)議。Actingontheprincipleofsincerecooperationandcommondevelopment,_________University(PartyA)andUniversityofBedfordshire(PartyB)haveagreedtoenterintothefollowingAgreementforthepurposeofcarryingoutajointeducationprograminnursingonthebasisofequalityandmutualbenefit.第二條合作雙方Article2BothParties2(1法人代表和地址Legalrepresentativeandaddress學院University(PartyA):__________________地址Add.:__________________電話Tel.:__________________傳真Fax:__________________法定代表人Legalrepresentative:_____________職務Position:_____________大學University(PartyB):UniversityofBedfordshire地址Add.:ParkSquare,Luton,BedfordshireUnitedKingdom.LU13JU電話Tel.:_01234400400傳真Fax:__________________法定代表人Legalrepresentative:ProfessorL.EbdonCBE職務Position:ViceChancellor&ChiefExecutive2(2合作雙方性質(zhì)ThenatureoftheParties甲方是經(jīng)中國教育部批準的一所具有頒發(fā)國家承認本科學歷資格的全日制本科院校，乙方是英國依法成立的一所高等學府，可頒發(fā)本科學歷證書。PartyAisafull-timeuniversityapprovedbytheChineseMinistryofEducationwiththequalificationofissuingnationallyrecognizedBachelor’sdegreecertificate.PartyBisalegallyregisteredhighereducationalinstitutioninUKwiththequalificationofissuingBachelor’sdegreecertificate.第三條合作辦學項目Article3JointEducationProgram1名稱:國際護理專業(yè)合作辦學項目協(xié)議書(3+1)，以下簡稱“項目”;Name:AgreementonSino-UKJointEducationPrograminInternationalNursing(3+1)，hereinafterreferredtoas“theProgram”第四條合作辦學項目的實施TheImplementoftheJointEducationProgram4.1辦學宗旨TheAimoftheProgram遵守中華人民共和國憲法、法律、法規(guī)和有關政策，發(fā)揮中、英合作雙方的優(yōu)勢，為構建我院現(xiàn)代化且適應國際競爭、探索護理教育特點的多元化辦學體制做出有益嘗試，努力為地區(qū)醫(yī)療衛(wèi)生事業(yè)及社會和經(jīng)濟發(fā)展培養(yǎng)高素質(zhì)、專業(yè)型、雙語型、具有國際理念的護理人才。BothPartiesshallabidebytheConstitution,Laws,RegulationsandRulesofPeople’sRepublicofChinawhileseekingcooperationineducation,bringingbothparties’advantagesintofullplayinbuildingmodernizationofnursingeducation.TheProgramisdesignedtotrainstudentswithinternationalcompetitiveness,toexplorethediversifiednursingeducationandschoolsystem,andtocultivatehighlyqualified,professional,bilingual,internationalnursingtalentsforthegrowthofChina’snursingindustryandthedevelopmentofthesocietyandeconomy.4.2課程設置CurriculumPlan根據(jù)培養(yǎng)高素質(zhì)、專業(yè)型、雙語型、具有國際理念的護理人才。中外雙方根據(jù)培養(yǎng)目標，共同制訂培養(yǎng)計劃和教學大綱。Theteachingplanisdesignedbybothpartiesonthebasisofproducinghighly-qualified,professional,bilingual,andinternationalnursingtalents.4.3學生來源、學制和規(guī)模TheResourceandScaleofStudentsandtheLengthofSchooling招收普通高中畢業(yè)生，由甲方通過高招計劃內(nèi)錄取，本合作辦學項目計劃每年招收50人，學制為4年，前三年在甲方學校學習，第四年在乙方學校學習，畢業(yè)后頒發(fā)甲方、乙方雙方本科學歷。TheProgram’stargetedstudentsarehighschoolgraduatorswhohavepassedthenationaluniversityentranceexaminationandwhoaretobeadmittedbyPartyAwithinthenationalplannedenrollmentquote.ThetotalperiodoftheProgramisfor4years.The4-yearProgramrecruits50studentsperyear,duringwhichstudentsstudywithPartyAinthefirstthreeyearsandwithPartyBinthefourthyear.Bachelor2degreesfrombothPartyAandPartyBshallbeissuedafterstudents’successfulcompletionoftheProgram.4.4學生的培養(yǎng)目標TheStudentCultivatingAim1.具有國際理念的護理人才。Bearinginternationalnursingphilosophy2.熟練掌握中英兩種語言的高端護理人才。MasteringbothChineseandEnglishskills3.有較寬的專業(yè)知識面，包括對相關的學科有基本的了解。Broadeningprofessionalscopeofknowledgeandhavingabasicunderstandingofrelateddisciplines4.在社交、禮儀等方面具備應有的素養(yǎng)，有較強的獨立解決問題的能力。Havingnecessaryaccomplishmentinsocialcontactandetiquetteandsoundabilityinsolvingproblemsindependently.5.服務我國未來醫(yī)療衛(wèi)生發(fā)展的護理事業(yè)。ServingthedevelopmentofthenursingindustryofChina4.5學生的畢業(yè)去向GraduatesEmployment對畢業(yè)學生甲方將根據(jù)“擇優(yōu)推薦”的原則，向中外企事業(yè)單位和其他用人單位推薦錄用。有條件自費出國繼續(xù)深造學歷者，學院將提供相應的咨詢服務。ExcellentstudentscanberecommendedbyPartyAtoworkinstate-ownedorforeignorjointlyownedentities,organizationsorcompanies.Thosewhoarefinanciallycapableofandplantofurthertheirstudiesabroad,PartyAwillprovidethemwithrelevantconsultantservices.4.6合作項目的師資TeachingResourcesoftheProgram甲方選派優(yōu)秀教師擔任本項目主要教學工作。乙方負責選派或招聘合格的、經(jīng)驗豐富的教師前來承擔有其負責的教學部分。PartyAshallselectqualifiedteacherstoundertakethemajorpartoftheteachingwork.PartyBshallsendorrecruitqualifiedandhighlyexperiencedteacherstoundertakeitspartoftheteachingwork.3第五條合作雙方的責任和義務Responsibilitiesandobligationsofthetwoparties5(1甲方責任ResponsibilitiesofPartyA1)負責辦理為設立中英國際護理合作辦學項目，向中國有關主管部門申請、批準、登記注冊等事宜。ResponsibleforsuchaffairsasapplicationtorelevantChinesegovernmentauthorityforapprovalandregistration,etc.ofthesaidSino-UKjointeducationprogramininternationalnursinginChina.2)負責按期提供項目所需的上課教室、辦公室、專用教室及設備等。Responsibleforprovidingclassrooms,offices,specialclassrooms,teachingequipmentandallothernecessaryfacilities.3)負責項目正常教學活動的開展和學生管理，做好中方教職工的選派、培訓和工作安排，做好外方教師的教學協(xié)助和質(zhì)量監(jiān)督。Responsibleforcarryingoutteachingactivitiesandstudentsmanagement,selectingqualifiedteachingstaffandprovidingassistancefortheteachingstaffsentbyPartyBaswellasconductingqualitysupervision.4)負責合作項目做好招生和畢業(yè)生推薦工作，保證每年的招生不低于50名。Responsibleforrecruitmentandrecommendationforemployment,ensuringthatannualenrollmentsarenolessthan50students.5)負責派遣專業(yè)教師或相關教師赴乙方進修、學習，保證學校的師資能滿足該項目授課的要求。ResponsibleforsendingacademicteachersorotherrelevantteacherstoPartyBforthemtoreceiverelevanttrainingsandensuringthatitsteachingresourcesmeettherequirementsofthejointeducationprogram.6)凡有關本項目的招生廣告或其他宣傳材料，刊登前需傳真或用電子郵件發(fā)給乙方以提供意見;AlladvertisementsandpromotionalmaterialsaboutthisProgramshallbeapprovedbyPartyBbyfaxoremailbeforebeingused.47)負責為其赴乙方進修的教師或?qū)W習的學生辦理所需的出境手續(xù)，并協(xié)助乙方所派教學或管理人員辦理所需的入境簽證手續(xù)。AssistingmanagerialandteachingstaffsentbyPartyBwithvisaapplicationsforthepurposeofdeliveringteachingwithPartyAaswellasassistingitsteachersorstudentswiththeirvisaapplicationsforthepurposeofattendingtrainingsorfurtherstudieswithPartyB.8)辦理合作項目委托的其他事宜。Responsibleforanyotheraffairsrelatedtothejointeducationprogram;ResponsibilitiesofPartyB5.2乙方責任1)選派合格教師、教材、教學參考用書、資料等，協(xié)助中方做好教學與管理，定期檢查評估教學，保證教學質(zhì)量。確保其所安排教師承擔該合作辦學項目的主課科目的三分之一。具體教學大綱、授課及教學管理由雙方共同制定，并附在本協(xié)議中。Sendingqualifiedteacherstodelivertherequiredteaching,providingteachingmaterials,assistingPartyAinteachingandmanagementaswellasinspectingandevaluatingteachingregularlytoguaranteetheteachingquality.Ensuringthatitsteachingcovers1/3ofthecorecoursesfortheProgram.ThedetailsoftheteachingarrangementandsyllabusshallbedecidedbytwopartiesandattachedwiththisAgreement.2)協(xié)調(diào)對來華工作的外籍教師的管理，并做好有關的教學工作。ProvidingsupervisionandsupporttoitsteachersintheircomingtoPartyAtohandletherequiredteachingandrelevantactivities;3)每年為甲方提供2次教師培訓。ProvidingtrainingsforteachingstaffofPartyAtwiceayear;4)乙方向甲方提供網(wǎng)絡在線教學指導ProvidingonlineteachingguidanceforPartyA;5)協(xié)助有條件赴乙方學校深造的學生申請所需簽證及入學登記。AssistingthosestudentswhoarepreparingforfurtherstudieswithPartyBintheir5entryandvisaapplications;6)辦理合作辦學項目所需的其他事宜。Responsibleforanyothernecessaryaffairsrelatedtojointeducationprogram;第六條聯(lián)合管理委員會Article6JointManagementCommittee6.1雙方同意成立管理委員會，該委員會由七名委員組成，4名出自甲方，3名出自乙方，主任由甲方任命。ThetwoPartiesagreetosetupaJointManagementCommitteewhichconsistsofsevenmembers,ofwhomfourcomefromPartyAandthreefromPartyB,withitsDirectortobeappointedbyPartyA.6.2管理委員會是合作項目的最高權力機構，決定項目的一切重大事宜。對于下列重大事宜，須經(jīng)管理委員會一致通過，方可生效。TheJointCommitteeisthehighestauthorityofthecooperationProgram,determiningallmajorissuesfortheProgram.UnanimousagreementmustbereachedbytheCommitteeforthefollowingmajorissuesbeforeanyofsuchdecisionbeingputintoforce:1)合作項目章程的修改;Anyamendmenttotheagreementofthecooperationprogram2)合作項目的終止、解散;Terminationanddissolutionofthecooperationprogram3)合作項目的辦學方針。Theeducationpolicyofthecooperationprogram下列事宜須經(jīng)管理委員會五分之三以上委員通過，方可生效。Thefollowingissuesshallbesubjecttoconsentofmorethanthree-fifthofmembersoftheCommitteebeforebeingputintoeffect.1)此項目負責人的任命及其他的重大聘任;TheappointmentoftheProgramleaderandrecruitmentforothermajorpositions;2)項目負責人提出的報告和建議;Reportsandrecommendationsfromtheprogramleader3)制定和修改合作項目的重大規(guī)章制度;Formulationandrevisionofthemajorrulesandregulationsgoverningthecooperationprogram4)決定合作項目的發(fā)展規(guī)劃;DevelopmentplansforthecooperationProgram65)其他須經(jīng)管理委員會通過的事宜。AnyotherissueswhichshouldbeadoptedbytheCommittee6.3管理委員會每年召開兩次會議，由主任召集并主持，如主任因故不能出席會議，可授權副主任主持會議。會議記錄應歸檔保存。TheDirectorshallconvenetheJointManagementCommitteemeetingstwiceeachyear.IftheDirectorcannotattendthemeeting,itsDeputyDirectorshallbeauthorizedtochairthemeetingsandkeeparecordoftheminutesofmeetings.6.4合作項目可設相應的部門，負責各方面工作。CooperationprogrammaysetupappropriatedepartmentstobeinchargeofanyspecificaspectoftheProgram.第七條招生數(shù)量NumberofEnrollment第一年招生數(shù)量在50人左右(人數(shù)少于50人，由雙方協(xié)商開班的必要性)，從第二年起招生數(shù)量在100人左右。Thereshouldbearound50studentsinthefirstyearoftheProgram(Ifthenumberislessthan50,thetwopartiesshalldecidethepossibilityofrunningtheProgram).Fromthesecondyearon,thereshouldbearound100students.第八條財務、審計Article8Finance&Audit8.1本項目在甲方財務部門設立專門財務賬目，由甲方部門統(tǒng)一管理和收支，并向聯(lián)合管理委員會匯報。AspecialaccountshallbesetupfortheProgramandshallbemanagedbyParty.PartyAshallreporttotheJointManagementCommittee.8.2合作項目的經(jīng)費使用Theusingofincomeforthecooperationprogram合作項目向?qū)W生收取的學費必須用于本項目的教育、教學或用于本項目的發(fā)展，不得挪作它用。TuitionfeescollectedfromparticipatingstudentsmustbeusedforrunningtheProgram,teachingactivitiesanddevelopmentoftheProgramwithoutanyabuse.第九條:違約責任Article9LiabilitiesforBreachoftheAgreement如一方不履行本項目所規(guī)定的責任和義務，并在另一方以書面告知20天后仍不履行其責任和義務，則另一方有權采取相關措施使本項目得以執(zhí)行，并向違約方索取由此造成的經(jīng)濟損失。IfeitherpartyfailstoperformtheresponsibilitiesandobligationsundertheAgreementandstilldoesnotfulfillitsresponsibilitiesandobligationsafterreceiving7awrittennoticefromtheotherpartyfor20days,theotherpartyhastherighttotakerelevantmeasurestoimplementtheprogram,andclaimfortheeconomiclossfromthedelinquentparty.第十條爭議的解決Article10DisputeResolution10.1談判:凡因執(zhí)行本項目所發(fā)生的一切爭議，雙方首先通過友好協(xié)商和談判解決;Negotiation:AlldisputesarisingduringimplementingtheprogramshallbenegotiatedanddiscussedfriendlybythetwoPartiestoinordertoreachanagreement.10.2訴訟及法律適用:如果爭議不能通過10(1條款所規(guī)定的友好協(xié)商和談判得以解決，任何一方均有權向甲方所在地的管轄法院提起訴訟。Litigation:Ifthedisputescannotberesolvedthroughfriendlynegotiationanddiscussionunderthetermsof10.1,eitherPartyhastherighttoseeklegalresolutionviacourtslocatedinthesamejurisdictionofPartyAandlitigationsaretobegovernedbytheChineselaws.第十一條協(xié)議的生效、修改和終止Article11CommencementandTerminationoftheAgreement11.1本協(xié)議自雙方簽字之日起生效，協(xié)議有效期為8年;Theagreementshallcomeintoeffectafterbeingsignedbybothpartiesandbevalidfor8years.11.2任何對本協(xié)議的改變或修改須經(jīng)雙方以書面形式表示同意，方可有雨本協(xié)議同等效力。AnychangesoramendmentstotheAgreementshallbeagreeduponbybothPartiesinwritingandshallconstitute
