Appointment 甲方為乙方在某地建立XX產(chǎn)線提供相關(guān)的技術(shù)支持、文件支持。乙方承諾從甲方處以散件形式采購(gòu)xx，甲方將XX以散件形式發(fā)給丙方，丙方收到后在某地按甲方或乙方的技術(shù)要求組裝成SKD形式產(chǎn)品發(fā)至乙方。Party A provides relevant techni

3、cal support, documentation support for Party B to set up a CKD XX product production line in place name. Party B should purchase XX product from Party A in CKD format. Party A should send the XX product to Party C in CKD format. Party C should assemble it accord to Parties A & Bs technical requireme

Price conditions 考慮到競(jìng)爭(zhēng)對(duì)手的價(jià)格，甲方必須保證給乙方最有競(jìng)爭(zhēng)力價(jià)格。每個(gè)產(chǎn)品的價(jià)格應(yīng)由甲乙雙方協(xié)商確定，甲方和乙方必須就每個(gè)季度的采購(gòu)計(jì)劃達(dá)成一致，以避免價(jià)格波動(dòng)。每當(dāng)原材料成本總變動(dòng)變動(dòng)+/- 3時(shí)，所有產(chǎn)品的價(jià)格應(yīng)每季度協(xié)商一次。Part A must guarantee the best price to

5、the part B, considering the Competitors prices.The price for each product shall be fixed through negotiations between Party B and Party A, the parties A and B must agree on a purchase plan for each quarter in order to avoid prices variation.Prices of all products should be negotiated every quarter w

Special condition 乙方和丙方可以要求生產(chǎn)產(chǎn)品的任何配件以滿足其政府的要求。Party B and C Can request to make production of any part of the product in case to apply the requirements of their government.9. 付款方式9. Liability for breach of contract乙方或丙方在合同有效期間有以下行為視為違約：1）向合同以外的第四方透露甲方提供的任意文件信息或技術(shù)信息；2）未能按本合同要求完成條款4中規(guī)定的數(shù)量；Party B or Party C shall be regarded as a breach of contract during the

10、 period when the contract is valid:1) Disclose any documentary or technical information provided by Party A to a fourth party other than the contract;2) Failure to complete the quantity specified in Clause 4 as required by this contract;11. 合同有效期11. Validity of Contract 本合同經(jīng)有關(guān)三方如期簽署后生效，有效期為_(kāi)1_年，從_年_

12、arranty terms, Quality and procedure for acceptance of goods 貨物的質(zhì)量必須符合乙方和甲方批準(zhǔn)的貨物技術(shù)文件和要求，并且具有可銷售的質(zhì)量，沒(méi)有缺陷并且適用于原有目的。The quality of the Goods must comply with the technical documentation and requirements for the Goods, approved by Party B and the Party A, and else be of merchantable quality, free from d

13、efects and suitable for the purpose for which they are intended to. 交付的貨物應(yīng)受到定量控制。當(dāng)實(shí)際訂單數(shù)量與合同數(shù)量有差異時(shí)，甲方應(yīng)在出貨前通知乙方，經(jīng)雙方協(xié)商同意方可發(fā)貨。當(dāng)甲方聲明的數(shù)量與乙方接受的數(shù)量之間的差異應(yīng)在丙方收貨之日起十（10）個(gè)工作日內(nèi)向甲方披露，乙方可以拒絕接受貨物剩余部分。 The delivered Goods shall be subject to quantitative control. When there is a difference between the actual order qu

The difference between the quantity stated by Party A and the quantity accepted by Party B shall be disclosed to Party A within ten (10) working days after Party

15、 C receives the goods, and Party B may refuse to accept the rest of the goods. 甲方交付的貨物應(yīng)受到質(zhì)量控制。 如果交付的貨物不符合批準(zhǔn)的要求或由于質(zhì)量原因遭到拒收，質(zhì)量原因經(jīng)由甲乙雙方參照前期雙方確認(rèn)的貨物質(zhì)量標(biāo)準(zhǔn)來(lái)鑒定，鑒定為不合格的，乙方可選擇更換貨物或?qū)⒇浳锿嘶亟o甲方，更換有缺陷貨物（包括運(yùn)輸和海關(guān)費(fèi)用）所產(chǎn)生的所有費(fèi)用均由甲方承擔(dān)。 除了隱藏缺陷和不合格情況外，交付的貨物在到貨時(shí)應(yīng)被視為可用。因此，最初被接受的材料后來(lái)都被證明是有缺陷的情況下，乙方有權(quán)發(fā)回，得到更換和換回對(duì)應(yīng)的貨款。The delivere

16、d Goods shall be subject to qualitative control. In case the delivered goods do not meet the approved requirements or are rejected due to quality reasons, quality reasons are identified by both Party A and Party B with reference to the goods quality standards previously confirmed by both parties. If

17、 they are identified as unqualified, Party B may choose to replace the goods or return the goods to the Party A. All costs incurred in replacing defective goods (including transportation and customs fees) shall be borne by Party A. The delivered Goods shall be considered usable at the arrival except

18、 for the cases of hidden defects and non-conformity. Therefore, Party B shall have the right to dispatch back, obtaining the replacement or the crediting of money. 如果質(zhì)量與乙方批準(zhǔn)的樣品和乙方圖紙中所示的商品規(guī)格有任何偏差（甲方公差允許范圍內(nèi)的貨物除外），乙方和丙方有權(quán)拒絕交付的貨物.In case there is any deviation between the quality and the product specifi

Termination 在本合同有效期內(nèi)，如果一方被發(fā)現(xiàn)違背合同條款，另一方有權(quán)終止合同。 在本合同有效期內(nèi)，如果一方要解除合同，一方想解散合同，應(yīng)

20、至少提前3個(gè)月書(shū)面通知，以尊重所有確認(rèn)的采購(gòu)計(jì)劃和已開(kāi)具的訂單。During the validity of this contract if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this contract.During the validity period of this contract, if one party wants to dissolution of the contract

21、, one party who wants to dissolution of the contract shall submit a written notice at least 3 months in advance a condition to respect all the confirmed purchase plan and opened orders.14. 不可抗力14. Force Majeure 由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭(zhēng)或合同一方無(wú)法預(yù)見(jiàn)、控制、避免和克服的其他事件導(dǎo)致不能或暫時(shí)不能全部或部分履行本合同，該方不負(fù)責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事

22、件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì)方。Either party shall not be responsible for failure or delay to perform all or any part of this contract due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relevant party.Howev

23、er, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter shall send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.15. 爭(zhēng)議解決15. Dispute Resolu

24、tion 因凡因本合同引起的或與本合同有關(guān)的任何爭(zhēng)議，三方應(yīng)首先嘗試友好協(xié)商解決。如果一方向另一方發(fā)出協(xié)商通知之日起三十日內(nèi)，爭(zhēng)議仍未得到解決，則應(yīng)將爭(zhēng)議提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)深圳分會(huì)，按照申請(qǐng)仲裁時(shí)該會(huì)實(shí)施的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均有約束力。 Any dispute arising from or in connection with this contract shall first be attempted to be resolved through discussions and consultations between the Parties in good faith. If the dispute remains unresolved upon expiration of 30 days after written notice has been sent by one Party to the other Party, the dispute shall be submitted to China International Economic and Trade Arbitration Commission, Shenzhen Sub-Commis
