dulyincorporatedandexistingunderthelawsofSingapore,withitsregisteredaddressat32SamLeongRoadSingapore207922.、口報關、中國至航空干線進口清關和派送服務之相關事宜達成如下協(xié)、Onanequalandvoluntarybasisandthroughamicablenegotiationsbetweenbothparties,withrespecttotheprovisionofexportcustomsclearance,toLinehaul,importcustomsclearanceanddeliveryservicetoPartyAbyPartyB,ITISHEREBYAGREEDasfollows:一、服務內(nèi)Scopeof乙方根據(jù)本協(xié)議的約定向甲方提供快件出口報關、中國至航空干線、進口清關及配送服務，并按照與甲方約定的標準向甲方收取服PartyBshallprovideexportcustomsclearance,toLinehaul,importcustomsclearanceanddeliveryserviceintoPartyAinrespectoftheshipmentsimportedto(“Shipments”).PartyAshallpaytheexportcustomsclearance,toLinehaul,importcustomsclearanceanddeliveryservicefee(“ServiceFee”)toPartyBinrespectoftheShipmentspursuanttotheServiceFeeScheduleagreedbybothParties.PartyBshallprovidetheShipmentdeliveryservicein(hereinafterreferredtoasthe“DeliveryArea”).乙方提供快件中國報關、航空干線至、清關及配送服務的時效為PartyBwarrantsthatthetimeittakestofinishtheexportcustomsclearance,toLinehaul,importcustomsclearanceanddeliveryofeachShipmentis[]businessdays,whichshallbecalculatedfromthedayPartyBreceivestheShipment(thedayofreceiptoftheShipmentisincluded)tothedaytheconsigneeacknowledgesreceiptoftheShipment.二、甲方的權利和義PartyA’sRightsand甲方須遵守配送區(qū)域所在國家或地區(qū)的相關法律不得寄遞任何易燃、易爆有害及配送區(qū)域所在國家或地區(qū)的法律寄遞的快件。PartyAshallcomplywiththerelevantlawsandregulationsofthecountryordistrictoftheDeliveryAreaandshallnotsmuggleanyShipmentwhichisflble,explosive,toxic,hazardousorwhichisprohibitedbythelawsandregulationsofthecountryordistrictoftheDeliveryArea.PartyAundertakesthattheShipmentsdeliveredbyPartyAtoPartyBareproperlymarkedandaddressedandpackedtoensuresafetransportationandwarehousing.PartyAshallprovideclear,complete,andcorrectinformationindicatedonthewaybill,includingtheinformationconcerningtheShipment’scontent,name,value,ty,weight,volume,transportationrequirements,theconsignee’saddress,name,name,contactand三、乙方的權利和義PartyB’sRightsand乙方在為甲方提供本協(xié)議約定的中國出口報關、中國至航空干線收取服務費，并向甲方開具形式。PartyAshallpayPartyBtheServiceFeefortheprovisionofexportcustomsclearance,tolinehaul,importcustomsclearanceanddeliveryserviceunderthisAgreementinaccordancewiththeServiceFeeSchedule(Annex1)andPartyBshallissueproformastoPartyA.ITPartyBshallaccepttheShipmentsfromthe designatedbyPartyAandscantheShipmentsanduploadtheelectronicdatatoPartyA’sITsystem.TheoflossordamageoftheShipmentsshallbetransferredtoPartyBfromthetimePartyBacceptstheShipmentsandfinishesthehandoverscanning.作，乙方應以形式提前10個工作日通知甲方。PartyBshallgivePartyAa10businessdays’priorwrittennoticeifitwouldsuspenditsdeliveryserviceduringpublicholidaysintheDeliveryArea.乙方應配備與甲方的圓通IT系統(tǒng)相互兼容和協(xié)調(diào)的IT系統(tǒng)，并及時傳輸有PartyBshallbeequippedwithITsystemwhichiscompatibleandintegratedwithYTOITSystem.PartyBshalltransmittoPartyAallthenecessaryinformationregardingthestatusofdelivery.Thetimeperiod,fileformatsandstructureofthedatatransmissionsshallbesubjecttotherequirementsofPartyA.乙方承諾其IT系統(tǒng)中的時間與操作信息，包括但不限于交接、收件入庫、發(fā)PartyBundertakesthatthetimeandoperationinformationinitsITsystem,includingbutnotlimitedtoinformationregardingon-sitehandover,warehousing,departure,delivery,sign-inaretrueandeffective.Inaddition,PartyBshallinformPartyAthestatusofdeliveryinatimelymannertofacilitatePartyA’sinquiryandsettlementofaccounts.PartyBshallprovidetoPartyAwiththeaccesstoinquiryonthestatusofdeliveryofShipments,andshallpromptlyinformPartyAonanyemergenciesandabnormalsituationsduringexportcustomsclearance,tolinehaul,importcustomsclearanceanddeliveryserviceandnegotiatewithPartyAonPartyBmaysubcontractdeliveryservicesunderthisAgreementtoathirdpartyprovidedthatthequalityofdeliveryserviceisguaranteed.Insuchacase,PartyBshallbearallthecostsandshallbeliabletoPartyAfortheactsofitsemployees,agents,andsubcontractors.乙方應將收件人簽收的底單（）至少保留【一年】，自簽收之日起算PartyBshallkeeptheoriginalcopyofthewaybillsignedbytheconsignee(ifany)foratleast[oneyear],whichshallbecalculatedfromthedaythewaybillissignedbytheconsignee.四、送達及異常件的DeliveryandHandlingofAbnormalPartyBshalldelivertheShipmentstotheaddressesandconsigneesorcompaniesindicatedonthewaybillorotheraddressinstructedbyPartyA.TheShipmentsshallbeacceptedbytheconsigneesin.乙方應將簽收結果上傳至甲方IT系統(tǒng)。IntheeventthattheShipmentsarereceivedbyconsigneesandareconfirmedingoodpackingcondition,PartyBshalluploadtheacceptancedatatoPartyA’sITIncaseofanyabnormaldeliverycircumstances(including,withoutlimitation,failuretocontacttheconsignee,incorrector consignee’srefusaltoaccepttheShipments,etc),PartyBshallinformPartyAoftheabnormalcircumstanceonthesamedayandnegotiatewithPartyA’sstaffonsolution.Meanwhile,PartyBshallcontinuetocontacttheconsigneeandtrydeliveragain.PartyBwillprovide[three]timesofdeliveryfor.IftheShipmentisstillfailedtobedeliveredafterprovidingthreetimesofdelivery,PartyBshallkeeptheShipmentsforaperiodof[15]-day(s)for,duringwhichPartyBshalldealwiththeShipmentasperPartyA’sinstruction.Uponexpiryof[15]days,theShipmentmaybedisposedbyPartyBwithoutincurringanyliabilitywhatevertoPartyAoranyoneelse.IT系統(tǒng)，甲方有權要求乙方在PartyBshalluploadtheinformationregardinganyabnormalShipmentstoPartyA’sITsystemandPartyAmayrequirePartyBtoprovidethedetailsofsuchabnormalShipmentsinaspecifictimeperiod.IfPartyBfailstodoso,itshallcompensatetoPartyAforanylossarisingfromthereby.IntheeventthataconsigneeclaimsthathehasnotreceivedtheShipmentandPartyBfailstoprovideanyproofevidencingthattheconsigneehasacceptedtheShipment,thentheShipmentshallbedeemedtobelost.Insuchacase,PartyBshallbeliableforanylosstherebyinaccordancewiththetermsofthis五、標準與財務結ServiceFeeScheduleandSettlementofService【】結算TheServiceFeeprovidedforinthisAgreementissetforthinAnnex1.Unlessotherwiseagreedinwritingbybothparties,thepaymentshallbemadein[RMB].5日（如遇法定節(jié)假日相應順延）前向甲方提供上個自然月的費用，甲方在收到起7個工作日內(nèi)進行核對，如甲方對乙方所提供的有任何異議，可在此期接從應用中扣除按照雙方確認的費用金額乙方開具形式給甲方，甲方在收到后的14個工作日內(nèi)，以銀行轉賬方式支付給乙方。TheServiceFeeshallbesettledonamonthlybasis.PartyBshall,withinthefirst5businessdaysofeachmonth(itshallbeextendedaccordinglyincaseofpublicholidays),sendPartyAthedetailsoftheServiceFeepayableforprovisionofthewithin7businessdaysandraiseobjectionsduringthisperiod.WhenconfirmingthedetailsoftheServiceFee,PartyAmaydeductanycompensationamountpayableduetoPartyB’sdefaultfromtheServiceFeepayable.AftertheServiceFeeisconfirmedbybothParties,PartyAshallmakepaymentwithin14businessprouponreceiptof issuedbypro匯款及收款所產(chǎn)生的相關手續(xù)費由付款收款方各自承擔Bankremittancechargesshallbeborneandpaidbybothparties乙方行及銀行收款賬號信息如下PartyB’sbankaccountdetailsareas行NameofBankAccount銀行的SWIFTSWIFTThesettlementoftheServiceFeesshallbebasedontheweightoftheShipmentsscaledbyPartyAwhentheShipmentsarecarriedoutofthewarehouse.六、雙方保Ithasallnecessarypower,authorityandcapacity,hastakenallactionsrequiredbyapplicablelawsandhasobtainedalltheapprovalsandconsentstoenterintoandperformitsobligationsunderthisAgreement;TheperformanceofitsobligationsunderthisAgreementwillnotresultinabreachofanyagreements,obligations,applicablelaws,regulations,orderordecree,whichhasbindingeffectonit.PartyB’sIthasallnecessarypower,authorityandcapacity,hastakenallactionsrequiredbyapplicablelawsandhasobtainedallapprovalsandconsentstoenterintoandperformitsobligationsunderthisAgreement;TheperformanceofitsobligationsunderthisAgreementwillnotresultinabreachofanyagreements,obligations,applicablelaws,regulations,orderordecree,whichhasbindingeffectonit;乙方具備簽訂和履行本協(xié)議所必須的全部資質(zhì)和AllqualificationsandpermitsrequiredtoenableittoenterintoandperformitsobligationsunderthisAgreementhavebeenobtained;乙方具備履行本協(xié)議所必須的場地、設施和設備Therequisitesite,facilitiesandequipmenthavebeenputincetoenableittoperformitsobligationsunderthisAgreement;乙方具備履行本協(xié)議所必須的IT系統(tǒng)TheITsystemrequiredtoenableittoperformitsobligationsunderthisAgreementhavebeenputince;Necessaryinternalguidelinesandsystems,suchasstandardoperationprocedureonShipmentssortinganddeliveryandresponsibilitysystemofposts,havebeenputincetoenableittoperformitsobligationsunderthisAgreement.七、違約責一方本協(xié)議項下約定的，應就其違約行為賠償守約方的全部損失partyforalllosssustainedthereby.乙方應對其提供服務過程中的快件遺失、破損等損失承擔賠償責任,并按照PartyBshallbeliableforanylossordamagesoftheShipmentswhenperformingitsserviceunderthisAgreement.Insuchacase,PartyBshallcompensatePartyAfortheactualvalueoftheShipmentbutshallnotexceedRMB[2,000]per50%710個工ComparingwithPartyB’scommitteddeliverytime,ifthedeliverytimeofanyShipments:exceeds5businessdays,PartyBshallcuttheServiceFeeofthatShipmentbyhalf;exceeds7businessdays,PartyBshallwaivetheServiceFeeofthatShipment;exceeds10businessdays,PartyAmayatitsdiscretiondeterminetheShipmenttobelost,andPartyBshallbearcompensationliabilityforthelostShipmentinaccordancewithClause7.2herein.PartyBshallbearnoliabilityunderthefollowing（1）Anylosscausedbythe因快件之性質(zhì)所引起損耗、發(fā)霉、腐壞、變色、生銹、火災、等Anylossofwastage,mildew,spoil,colorchange,rust,fire,bombcausedbythenatureoftheShipments;AnylosscausedbythewrongfulinformationoftheAnylosscausedbyimproperorinsufficientpackingoftheShipmentwhichisnotattributabletoPartyB(unlessPartyBknowsorhasthereasontoknowtheShipmentmaycauselossduetotheinadequateordefectivepacking).因乙方提供的物流信息不真實確不完整不及時所導致的任何問題，Anyproblemscausedbyuntrue,inaccurate, pleteinformationoftheShipmentsprovidedbyPartyBshallbesolvedbyPartyBandPartyBshallcompensatePartyAforalllossarisingfromthereby.IntheeventthatPartyBintendstoprovideuntrueinformationtoPartyA,PartyAisentitledtoterminatethisAgreementandPartyBshallbeliableforPartyA’sloss.PartyAisentitledtodeductanycompensationamountpayablebyPartyBfromtheServiceFeepayablebyPartyA.八、協(xié)議期限及協(xié)議的終止、解Termand本協(xié)議自甲乙雙方簽署之日起生效合同有效期
