CostAllocationTableVendor’sParticipationbyVendor’sAffiliates.WithApple’spriorwrittenapprovaltobegivenorwithheldinApple’ssolediscretion,Vendormayhaveanaffiliate(“VendorAffiliate”)performandreceivepaymentforcertainWorkunderthisAgreement.AnysuchWorkandtheamountpayablewithrespecttosuchWorkshallbeidentifiedinaPurchaseOrderexecutedbyAppleandsuchVendorAffiliate.UponexecutionofanysuchPurchaseOrder,VendorAffiliateshallbeobligatedtoperformallobligationsofVendorunderthisAgreementrelativetosuchPurchaseOrderandWorkandVendorandVendorAffiliateshallbejointlyandseverallyresponsiblefortheperformanceoftheWorkcontemplatedbythePurchaseOrderonthetermscontainedintheAgreementandthePurchaseOrdernotwithstandingthatonlyVendorAffiliatemayhaveexecutedsuchPurchaseOrder.Article Vendor’sVendoragreestoperformthespecificservicesandWork(collectively,the“Work”)describedhereinandinExhibitI,inaccordancewiththetermsandconditionsoftheContract includingwithoutlimitationthelimitssetforthhereinwhichVendorrecognizesandacknowledgesareoftheessence.VendoragreesthatAppleshallpayVendor,forthecompleteandsatisfactoryperformanceoftheWorksubjecttoanyadditionsanddeletionsthatApplemayauthorize,thefixedcontractsumshownonpage1ofthisAgreementandnotedas“CostforCompletionoftheWork”.Thisamountshallbeinclusiveofallcostswhatsoever,including,withoutlimitation,allapplicabletaxesandcustomsduties.Vendoragreestoprovide,orcausetobeprovided,alllabor,equipmentandmaterials,aswellasalltechnicalandprofessionalWorkandexpertise,dataandsystems,andallotherdutiesanditemsofcosttotimelydelivertheWorkandallspecificworkproducts,designsanddrawings,andotherdeliverables(collectivelythe“Deliverables”)calledforintheContract VendorwillcarryouttheWorkinaccordancewiththemostrecentprofessionalandindustrypracticesandstandards,andinthemostexpeditiousandeconomicalmannerconsistentwiththebestinterestsofApple.VendorisresponsibleforinformingAppleinwriting,atanytime,ifitdoesnothavesufficientfactsandinformationtocarryout,withinthespecifiedtimeperiods,allWorkandobligationsasdescribedhereinunderthisAgreement.VendorwillprovideweeklyandmonthlyWorkandprogressreports,asrequestedbyApplewhichshallinclude,thestageofprogressoftheDeliverablesandtheWork,thestatusofthestaffing,progressandearnedvalues,anyproblemsorinformationneeded,andcostreportingrelatingtotheArticle Vendor’sVendor’sWorkwillconsistofprovidingalllabor,materials,expertise,toolsandequipment,transportation,supervisionandallotheritemsofcostnecessarytodesign(asauthorizedbyApple),provideandmanufactureand/orassemble,deliver,andinstallifsospecified,completeinagood,workmanlikeandsubstantialmanner,allDeliverablesdescribedinthe“ScopeofWork”,inaccordancewiththe“SchedulefortheWork”andotherconditionssetforththerein.TimeisofessencewithrespecttotheSchedulefortheWork.VendorshallbefullyandexclusivelyliableandresponsiblefortheScopeoftheWorkandforallsandinformation(includingthecorrectness,accuracyandcompletenessthereof)usedorproducedfororinconnectionwiththeWorkincludinganysubmittedorre-submittedtoApple,inaccordancewiththisAgreement.AllWorkandDeliverableswillbenewandofthebestquality,ofthekindspecified,freefromfaultsanddefects,fitforthepurposeintendedbyApple,andinstrictconformancewiththeContracts.Vendorshallfurnishsatisfactorycertifications,qualityassurance/controlation,andtestingandinspectionrecordstodemonstratethekindandqualityofthematerialsandequipmentprovidedhereunder.Vendorshallpackageallitemsinsuitablecontainerstopermitsafetransportationandhandling.Containersareshipunits,whichcanbemadeofcarton,pallet,crate,orwoodpackaging.Formoredetailsonwoodpackaging,VendorshallrefertotheRoutingGuidepublishedbyAppleRetailsLogistics.UponVendor’srequest,ApplewillmaketheRoutingGuideavailabletoVendor.Eachdeliveredcontainermustbelabeledandmarkedtoidentifycontentswithoutopeningandallboxesandpackagesmustcontainpackingsheetslistingcontents.Vendorwillclearlyidentifythecountryoforiginofallgoodsdeliveredandwillindemnify,defendandholdharmlessApplewithrespecttoanyLosses(asdefinedinSection22.1below)incurredinconnectionwithVendor’sfailuretoidentifyormisidentificationofthecountryoforigin.DuringthetermofthisAgreement,Vendorshallobtainandmaintaininfullforceandeffect,atitsowncostandexpense,insuranceincompliancewithExhibitV.VendorshallrequireSubcontractors,ifused,toprocureandmaintainlikeinsurancecoverage,andtoprovidesofinsurancetoApple.DuringthetermofthisAgreement,VendorshallcomplywithApple’sPoliciesandProcedurescontainedinExhibitX.Referencesto“r”inExhibitXshallmeanVendor,referencesto“rnel”shallmeanVendor,itsSubcontractors,vendors,rs,consultants,andtheiragentsandArticle CompletionoftheVendoragreestocommencetheWorkinaccordancewiththe“SchedulefortheWork”setforthinExhibitIII,andtoperformtheWorksoastoachieve“Completion”bythedatespecifiedtherein,barringonlyforcemajeureevents,includingbyexampleactsofGod,war,rebellion,terrorism,riot,commotion,disorder,strikeby sotherthanVendor’semployeesandSubcontractors,andotherdelayeventsunforeseenbyVendor, itsreasonablecontrolandcouldnotreasonablyhavebeenavoidedor e(hereinafter“ForceMajeure”).IntheeventofForceMajeure,providedthatVendorpromptlynotifiesAppleoftheForceMajeureevent,VendormaymakeaclaimforanextensionoftimeandAppleshallreasonablydeterminetheextensionoftime,ifany,towhichVendorisentitled.VendorrecognizesandagreesthatthetimesetforthintheSchedulefortheWorkrelativetothecommencement,prosecution,and“Completion”(ashereinafterdefined)oftheWorkandtheDeliverablesshallbedeemedoftheessenceofthisContract,andfailuretocomplywiththetermshereofandsaidSchedulefortheWork,inclusiveofthetonedatesprovidedtherein,shallconstituteadefaultbyVendor(an“EventofDefault”).PriortocommencingexecutionofanypartoftheWork,VendorshallensurethatitshallhavefullyexplainedthedesignandothercharacteristicsofthepartofAppleandhavereceivedApple’scomments,ifany,onthesame.VendorshalltakefullaccountofApple’scommentsinexecutingtheWork.Notwithstandinganyreview,commentsorapprovalbyApple,AppleshallhavenoliabilityorresponsibilityforanydesignorothercharacteristicoftheWorkoranypartthereofandnorisk,obligationorliabilityofVendorshallberelieved,limitedordiminishedonthegroundsofanysuchreview,commentsorapproval.“Completion”shallmeanthat,subjecttoinspectionandfinalacceptancebyApple(pursuanttoArticle6.0),thattheWorkandDeliverableshavebeenmanufacturedandconstructed(andifauthorized,installed)inaccordancewiththeapproveddesign,suchthatApplecanutilizetheWorkandDeliverablesforApple’sintendedpurpose.When,inVendor’sopinion,theWorkandDeliverablesarecomplete,VendorwillsonotifyAppleinwritingandaffordAppleareasonabletimetoinspecttheDeliverablesatVendor’sshoppriortoshipwithoutdelayingthescheduleddelivery.Withinthree(3)businessdaysofreceiptofVendor’sNoticeofCompletion,ApplewillnotifyVendorofitsintentandscheduleforsuchinspection,ifany,failingwhichApplereservessforinspectionfollowingreceiptoftheDeliverablesatthedesignatedlocation.Apple’sinspectionatVendor’sshopisintendedtoconfirmcompliancewithdesignintentonly,andneitherconstitutesfinalacceptanceoftheDeliverables,asernedbyArticle6.0,norrelievesVendorofitsobligationstodeliverandinstalltheDeliverables,ifsoIntheeventtheWorkisdelayedorstoppedastheresultofForceMajeure,thenprovidedVendorcomplieswithArticle27.0belowrelativetonoticetoAppleofanysuchdelayorstoppage,VendorshallbeentitledtoanextensionoftimeinwhichtoperformtheWorkequivalenttotheperiodoftimewhichVendorcandemonstratethattheWorkwasactuallydelayedastheresultofForceMajeure.VendoragreesandacknowledgesthatsuchanextensionisreasonableandsufficientintheeventofForceMajeuredelay,andagreestoacceptthesameinlieuof,andtowaiveitsrightsto,anymonetarydamagesorotherreliefotherwiseprovidedatContract,oratlaworequity.IfVendorfailstoachieveCompletionoftheWorkbytheTimeforCompletionthen,VendorshallpayorallowtoAppleliquidateddamagesintheamountofRMB30,000foreverydaybetweentheTimeforCompletionandthedateofCompletionoftheWork.SuchsumshallconstituandnotArticle DPPUnlessandexcepttotheextentspecifiedotherwise,allWorkandDeliverablesproducedunderthisAgreementshallbeshipped“DPP”(“DeliveryDutyPaid”)accordingtoIncoterms)totheProjectsite(unlessotherwisespecifiedbyApple),andallsuchship,delivery,insurance,riskofloss,dutiesandstoragecostsareincludedintheCostforCompletionoftheWork.Article InspectionandAcceptancebyDeliverablesshippedtoorreceivedbyApplewillbeacceptedonlyif paniedbyadetailedshiplistorbyacopyofadetailed .FollowingdeliverytoApple,orinstallationbyVendorifsoauthorized,Applewillhaveaminimumofninety(90)days,orlongerifsuchtimeisreasonable,toinspecttheDeliverables,andpartialpaymentorpaymentinfullpriortocompletionofinspectiondoesnotwaiveApple’srightofrejectionofnonconformingordefectivegoods.ApplewillhavenoliabilityforDeliverablesthatarereceivedinadamagedcondition,orwhicharedeterminedtobedefectivewithintheWarrantyPeriod,andVendorissolelyresponsiblefortherepairorreplacement,atApple’ssoleoption,ofsuchDeliverables.Article Vendor’sWarrantiesandVendorherebywarrantsandcovenantstoAppleItisdulylicensedtoobserveandperformtheterms,covenants,conditionsandotherprovisionsonitsparttobeobservedorperformedhereunder.isexperiencedandskilledintheWorkofthetypedescribedin,orrequiredby,the ItisawareofotherworkbyApple,Apple’sVendorsandcontractorsunderdirectcontracttoApple(collectively“SeparateContractor”),atthelocationatwhichtheDeliverableswillbeinstalled(ifapplicable),andagreestocoordinateandscheduletheWorkwithsuchworkofsuchSeparateContractorsoastoavoidinterferenceordelay.Vendorwillsecureandpayforallnecessaryapprovals,permits,assessmentsandchargesrequiredforthedesign,manufacture,delivery,andinstallation,ifapplicable,oftheDeliverables.PriceschargedbyVendortoApplefortheWorkandDeliverablesshallnotexceedthepricesofferedtoanyothercustomerforsimilarwork,netofanyrebatesanddiscounts,regardlessofvolume.Ifpreviouslyagreeduponpricesexceedthepricesofferedtoanyothercustomerforsimilarwork,VendorwillmakethosepricesavailabletoAppleatthesametimeastheyareofferedtoanyothercustomer.Vendoragrees,uponreceiptofnoticefromAppleofaDeliverablefailingtoconformtotherequirementsoftheContract,topromptlyreplacethesame,whetherobservedbeforeorafterfabrication,installationorCompletion,andtocorrectanycompletedDeliverablewhichfailsor defective,orotherwiseisfoundtobenotinaccordancewiththerequirementsoftheContractswithinriodoftwoyears/r
