英文技術(shù)服務(wù)合同英文技術(shù)服務(wù)合同ContractNo.[ContractNumber]ThisEnglishTechnologyServiceContract(“Contract”)isenteredintobyandbetween[ClientName],acompanyorganizedandexistingunderthelawsof[Country/Region],witharegisteredaddressat[Address],and[ServiceProviderName],acompanyorganizedandexistingunderthelawsof[Country/Region],witharegisteredaddressat[Address].ClientandServiceProvidershallbereferredtoeachasa"Party"andcollectivelyasthe"Parties"herein.1.PurposeoftheContractServiceProviderisengagedinprovidingtechnicalservices(the"Services")toClientpursuanttothisContract.ThescopeoftheServicesshallbesetforthinExhibitAattachedhereto.2.TermoftheContractThisContractshallbeeffectivefromthedateofsignatureandshallcontinueuntilcompletionoftheServices.UnlessotherwiseagreedinwritingbytheParties,thetermshallbe[_____].3.ServiceProvider'sRepresentationsandWarrantiesServiceProviderrepresentsandwarrantstoClientasfollows:(a)AllServicesshallbeperformedinaccordancewithallapplicablelaws,rules,andregulationsofChinaandanyothercountrythatmayapplytotheServices;(b)AllpersonnelperformingServiceswillhavetheappropriatequalifications,licenses,permits,andtrainingrequiredunderapplicablelawsandregulations;(c)AllServicesshallbeperformedinaprofessionalandworkmanlikemannerconsistentwithindustrystandards;(d)NoServicesprovidedortobeprovidedunderthisContractareorwillbeinviolationofanypatent,trademark,tradesecret,copyrightorotherproprietaryrightofanythirdparty;and(e)Alldeliverableswillbefreefromdefectsinworkmanship,materials,anddesign.4.Client'sObligationsClientshallprovidethefollowingresourcesandcooperationtoServiceProvider:(a)AccesstoanduseofClient’sequipment,facilities,anddata,asmaybereasonablynecessaryforServiceProvidertoperformtheServices;(b)AnynecessaryinformationandassistanceincarryingouttheServices,includingtimelyfeedbackandreviewofdeliverables.5.PaymentforServicesClientshallpayServiceProviderforServicesinaccordancewithExhibitBattachedhereto.AllpaymentsshallbemadeinthecurrencyspecifiedinExhibitB.6.Confidentiality(a)DuringthetermofthisContract,andforaperiodof[_____],thePartiesagreetokeepconfidentialallinformationobtainedfromtheotherPartythatismarked“confidential”orthat,fromthecircumstancessurroundingthedisclosure,oughtreasonablytobetreatedasconfidentialinformation.(b)EachPartyagreestousetheotherParty’sconfidentialinformationonlyforthepurposeofperformingitsobligationsunderthisContractandnotforanyotherpurpose.7.ForceMajeureNeitherPartyshallberesponsibleforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetostrikes,riots,insurrections,wars,actsofGod,fires,floods,actsofterrorism,orothersimilarcausesbeyonditscontrol.8.Termination(a)EitherPartymayterminatethisContractuponwrittennoticetotheotherPartyifsuchotherPartymateriallybreachesanyprovisionofthisContractandfailstocuresuchbreachwithin[_____].(b)EitherPartymayterminatethisContractuponwrittennoticetotheotherPartyifsuchotherPartybecomesinsolvent,filesforbankruptcy,orotherwisebecomesunabletoperformitsobligationsunderthisContract.(c)Upontermination,allamountspayableforServicesperformedpriortotheeffectivedateoftheterminationshallbecomeimmediatelypayable.9.DisputeResolutionAnydisputearisingoutoforrelatedtothisContractortheServicesshallberesolvedthroughfriendlyconsultationfirst.IfthePartiesfailtoresolvethedisputewithin[_____]days,eitherPartymaysubmitthedisputetoarbitrationinaccordancewiththethen-currentarbitrationrulesofChinaInternationalEconomicandTradeArbitrationCommission.Thearbitrationshallbeconductedin[City],[Country/Region],andtheawardrenderedbythearbitrator(s)shallbefinalandbindingupontheParties.10.GeneralProvisions(a)ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/Region]withoutregardtoitsconflictoflawprovisions.(b)ThisContractconstitutestheentireagreementofthePartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousnegotiations,understandings,andagreementsbetweentheParties,whetherwrittenororal.(c)ThisContractmaybeexecutedincounterpartsandmaybedeliveredbyfacsimileoremailtransmission,eachofwhichshallbedeemedanoriginalbutallofwhichtogethershallconstituteoneandthesameinstrument.(d)ThisContractshallbebindinguponandinuretothebenefitofthePartiesheretoandtheirrespectivesuccessorsandassigns.(e)NowaiverofanyprovisionofthisContractshallbeeffectiveunlessinwritingandsignedbythePartyagainstwhomsuchwaiverissoughttobeenforced.(f)IfanyprovisionofthisContractisheldtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.INWITNESSWHEREOF,thePartieshave
