sofsupposedlysuperiorinligence,education,andmoralcharacter.AlthoughtheSupremeCourtoftheUnitedStateshadprohibitedintentionalracialdiscriminationinjuryselectionasearlyasthe1880caseofStrauderv.WestVirginia,thepracticeofselectingso-calledeliteorblue-ribbonjuriesprovidedaconvenientwayaroundthisandotherantidiscriminationlaws.Thesystemalsofailedtoregularlyincludewomenonjuriesuntilthemid-20thcentury.AlthoughwomenfirstservedonstatejuriesinUtahin1898,itwasnotuntilthe1940sthatamajorityofstatesmadewomeneligibleforjuryduty.Eventhenseveralstatesautomaticallyexemptedwomenfromjurydutyunlesstheyallyaskedtohavetheirnamesincludedonthejurylist.Thispracticewasjustifiedbytheclaimthatwomenwereneededathome,anditkeptjuriesunrepresentativeofwomenthroughtheIn1968,theCongressoftheUnitedStatespassedtheJurySelectionandServiceAct,usheringinaneweraofdemocraticreformsforthejury.Thislawabolishedspecialeducationalrequirementsforfederaljurorsandrequiredthemtobeselectedatrandomfromacrosssectionoftheentirecommunity.Inthelandmark1975decisionTaylorv.Louisiana,theSupremeCourtextendedtherequirementthatjuriesberepresentativeofallpartsofthecommunitytothestatelevel.TheTaylordecisionalsodeclaredsexdiscriminationinjuryselectiontobeunconstitutionalandorderedstatestousethesameproceduresforselectingmaleandfemalejurors.FromtheprinciplesoftheUSjurysystem,welearnthat bothliterateandilliteratepeoplecanserveondefendantsareimmunefromtrialbytheirnoagelimitshouldbeimposedforjuryjudgmentshouldconsidertheopinionoftheThepracticeofselectingso-calledelitejurorspriorto1968showed educationalrequirementsbecamelessrigidintheselectionoffederaljurorsatthestateleveloughttoberepresentativeoftheentirestatesoughttoconformtothefederalcourtinreformingthejuryIndiscussingtheUSjurysystem,thetextcenters itsnatureanditscharacteristicsanditsproblemsandtheiritstraditionand英語(yǔ)二閱讀2011-RuthSimmonsjoinedGoldmanSachs’sboardasanoutsidedirectorinJanuary2000;ayearlatershebecameofBrownUniversity.Fortherestofthedecadesheapparentlymanagedbothroleswithoutattractingmuchcriticism.Butbytheendof2009Ms.SimmonswasunderfireforhavingsatonGoldman’scompensationcommittee;howcouldshehaveletthoseenormousbonuspayoutspassunremarked?ByFebruarythenextyearMs.Simmonshadlefttheboard.Thepositionwasjusttakinguptoomuchtime,sheOutsidedirectorsaresupposedtoserveashelpful,yetlessbiased,advisersonafirm’sboard.Havingmadetheirwealthandtheirreputationselsewhere,theypresumablyhaveenoughindependencetodisagreewiththechiefexecutive’sproposals.Ifthesky,andtheshareprice,isfalling,outsidedirectorsshouldbeabletogiveadvicebasedonhavingweatheredtheirowncrises.TheresearchersfromOhioUniversityusedadatabasethatcoveredmorethan10,000firmsandmorethan64,000differentdirectorsbetween1989and2004.Thentheysimplycheckedwhichdirectorsstayedfromoneproxystatementtothenext.Themostlikelyreasonfordepartingaboardwasage,sotheresearchersconcentratedonthose“surprise”disappearancesbydirectorsundertheageof70.Theyfoundthatafterasurprisedeparture,theprobabilitythatthecompanywillsubsequentlyhavetorestateearningsincreasesbynearly20%.Thelikelihoodofbeingnamedinafederalclass-actionlawsuitalsoincreases,andthestockislikelytoperformworse.Theeffecttendedtobelargerforlargerfirms.Althoughacorrelationbetweenthemleavingandsubsequentbadperformanceatthefirmissuggestive,itdoesnotmeanthatsuchdirectorsarealwaysjumoffasinkingship.Oftenthey“tradeup,”leavingriskier,smallerfirmsforlargerandmorestablefirms.Buttheresearchersbelievethatoutsidedirectorshaveaneasiertimeofavoidingablowtotheirreputationsiftheyleaveafirmbeforebadnewsbreaks,evenifareviewofhistoryshowstheywereontheboardatthetimeanywrongngoccurred.Firmswhowanttokeeptheiroutsidedirectorsthroughtoughtimesmayhavetocreateincentives.OtherwiseoutsidedirectorswillfollowtheexampleofMs.Simmons,onceagainverypopularoncampus.AccordingtoParagraph1,Ms.Simmonswascriticized gainingexcessivefailingtofulfillherrefusingtomakeleavingtheboardintoughWelearnfromParagraph2thatoutsidedirectorsaresupposedtobe generousunbiasedsharepriceindependentAccordingtotheresearchersfromOhioUniversity,afteranoutsidedirector’ssurprisedeparture,thefirmislikelyto emorereportincreaseddolesswellinthestockperformworseinItcanbeinferredfromthelastparagraphthatoutsidedirectors maystayfortheattractiveoffersfromthehaveoftenhadrecordsofwrongngsintheareaccustomedtostress-freeworkinthewilldeclineincentivesfromthe petitivemembersthequickfixofdevaluation.YetthedebateabouthowtosaveEurope’ssinglecurrencyfromdisintegrationisstuck.Itisstuckbecausetheeurozone’sdominantpowers,FranceandGermany,agreeontheneedforgreaterharmonisationwithintheeurozone,butdisagreeaboutwhattoharmonise.Germanythinkstheeuromustbesavedbystricterrulesonborrowing,spendingandcompetitiveness,backedbyquasi-automaticsanctionsforernmentsthatdonotobey.ThesemightincludethreatstofreezeEUfundsforpoorerregionsandEUmega-projects,andeventhesuspensionofacountry’svotingrightsinEUministerialcouncils.Itinsiststhateconomicco-ordinationshouldinvolveall27membersoftheEUclub,amongwhomthereisasmallmajorityforfree-marketliberalismandeconomicrigour;intheinnercorealone,Germanyfears,asmallmajorityfavourFrenchinterference.A“southern”campheadedbyFrancewantssomethingdifferent:“Europeaneconomicernment”withinaninnercoreofeuro-zonemembers.Translated,thatmeanspoliticiansinterveninginmonetarypolicyandasystemofredistributionfromrichertopoorermembers,viacheaperborrowingforernmentscommonEurobondsorcompletefiscaltransfers.Finally,figuresclosetotheFrenchernmenthavemurmured,euro-zonemembersshouldagreetosomefiscalandsocialharmonisation:e.g.,curbingcompetitionincorporate-taxratesorlabourcosts.ItistoosoontowriteofftheEU.Itremainstheworld’slargesttradingblock.Atitsbest,theEuropeanprojectisremarkablyliberal:builtaroundasinglemarketof27richandpoorcountries,it
